Referral agreement

1. Purpose and parties

This agreement is between SOWEBI, a French EURL with share capital of €3,000, registered office at 16 rue Cuvier, 69006 Lyon, France, listed with the Lyon Trade Register under number 891 330 797, hereafter “ClipFinish”, and the referrer who accepts it, hereafter “the Referrer”.

The Referrer recommends the ClipFinish service. They are not an agent, a commercial agent, an employee or a reseller: they sell nothing, sign nothing on behalf of ClipFinish and collect no payment. They have no power to represent ClipFinish.

The programme is joined by invitation. ClipFinish registers the Referrer from their email address and assigns them a public identifier, which appears in their referral link and doubles as their promotional code. That identifier cannot be changed afterwards.

2. What is owed, and on what base

The base is the amount ClipFinish actually collects excluding tax, not the advertised price. Prices are shown inclusive of tax: nineteen euros inclusive is €15.83 excluding tax in France and €14.96 in Hungary, the tax share varying with the customer's country. Commission is computed on the amount excluding tax, never on the advertised price.

The welcome discount given to a referral reduces what is collected in their first month: commission is computed on the amount actually collected after the discount, excluding tax. A collection of zero earns no commission and does not open the twelve-month window; that window opens on the first strictly positive collection.

A referral belongs to one Referrer, permanently, from the first collection. The rate and duration are those in force at that moment; a later change to the programme does not apply to referrals already acquired.

3. Clawback on refunds, unpaid invoices and disputes

Any refund, unpaid invoice or payment dispute on a commissioned collection results in the corresponding commission being clawed back, including after the relevant period has been paid out. The clawback is set against sums owed for later periods.

Where a period ends with a negative balance, nothing is paid and the balance carries forward until it is cleared. ClipFinish does not ask for a payment already made to be returned.

4. Invoicing and payment

The Referrer is a business entitled to issue an invoice in their country of establishment, in France or abroad. They evidence this to ClipFinish before being enrolled in the programme, with whatever documents their country requires. A Referrer who cannot invoice cannot be paid. In the application they only fill in their identity and postal address, the only data needed to pay them.

The Referrer issues the invoice. ClipFinish does not self-bill and does not compute the tax due: a Referrer registered for VAT in France charges it; a Referrer established elsewhere in the EU invoices under the reverse charge; a Referrer established outside the EU invoices without French VAT; a Referrer who is not VAT registered invoices without tax and says so. Tax status is the Referrer's own responsibility, under the law of their country.

Payment is made by bank transfer, on receipt of a compliant invoice, for the amount excluding tax frozen for the period. Sums paid to one beneficiary within a calendar year may be subject to the French annual declaration of fees.

5. The Referrer's obligations

Any paid recommendation must be identifiable as such, whatever the Referrer's country and whatever the format or medium. The disclosure must be legible and present throughout the promotion. In France, article 5 of law no. 2023-451 of 9 June 2023 requires the wording “Publicité” or “Collaboration commerciale”; elsewhere the Referrer applies their country's equivalent rule, and failing that, this one.

• Do not refer yourself, or any account you control.
• Do not bid on the “ClipFinish” brand, close variants or misspellings, on any search engine or ad network.
• Do not spread the link or code by unsolicited message, on any channel.
• Do not post the code on coupon sites, cashback extensions or promo code aggregators.
• Do not publish fake reviews, invented testimonials or results you did not obtain.
• Do not buy incentivised traffic, and do not pay anyone to sign up.
• Do not present yourself as ClipFinish, or imply that you represent it.

The Referrer describes the service as it is. They announce no price, feature or commitment that ClipFinish does not publish.

6. Suspension and termination

ClipFinish may suspend the Referrer for a breach of paragraph 5. Suspension stops new referrals being attributed; it does not affect sums already earned, which remain owed.

Either party may end this agreement at any time by written notice. Commission earned before it ends remains owed and is paid under paragraph 4. No termination indemnity is owed either way, the Referrer not being a commercial agent.

ClipFinish may change the rate, the duration or the terms of the programme for the future, on notice. Referrals already attributed stay governed by the terms in force on the day they were attributed.

7. Data and confidentiality

The Referrer has access to nothing that identifies their referrals: no address, no name, no identifier, no individual sign-up date. They receive counts and aggregated amounts only.

8. Governing law

This agreement is governed by French law. Both parties being businesses, any dispute falls to the Commercial Court of Lyon, failing an amicable settlement.
